Position Overview
The General Counsel will serve as the principal legal advisor to the organization, providing guidance on all legal matters including healthcare regulations, M&A, corporate governance, labor and employment law, data privacy, risk management, and commercial agreements. This role will also oversee the compliance function, ensuring that the company meets all federal and state regulatory requirements, with a strong emphasis on HIPAA, Stark Law, Anti-Kickback Statute, and other healthcare-specific laws.
Key Responsibilities
Legal Leadership
Serve as the in-house legal expert on all matters impacting the company, with a strong emphasis on healthcare regulatory issues.
Draft, review, and negotiate a wide range of commercial agreements including vendor, employment, and payer/provider agreements.
Provide practical legal counsel to leadership and cross-functional teams on risk mitigation, strategic initiatives, and day-to-day operations.
Oversee and coordinate work with outside counsel as needed, ensuring cost-effective and aligned legal support.
Compliance Oversight
Lead the organization’s compliance program, including training, monitoring, investigations, and reporting.
Ensure adherence to all applicable federal and state healthcare laws and regulations (e.g., HIPAA, HITECH, Stark, Anti-Kickback, CMS, False Claims Act).
Develop and maintain internal policies and procedures that support a culture of compliance across the enterprise.
Oversee internal audits and respond to regulatory inquiries or investigations.
Mergers & Acquisitions / Transactional Expertise
Provide legal oversight and guidance on all M&A activity, including deal structuring, due diligence, documentation, and post-close integration.
Draft, review, and negotiate term sheets, purchase agreements, and related transaction documents.
Partner with cross-functional teams to manage risk and ensure deal execution aligns with strategic objectives and regulatory requirements.
Serve as a key legal advisor in evaluating and closing strategic partnerships, affiliations, and other corporate development initiatives.
Risk Management & Governance
Advise on corporate structure, governance, and board matters.
Support the executive team in identifying, assessing, and mitigating legal and operational risks.
Assist with company licensing, accreditation, and insurance-related legal matters.
Data Privacy & Security
Collaborate with IT and operations teams to maintain HIPAA compliance and data protection standards.
Monitor evolving data privacy laws and ensure organizational policies remain compliant and up to date.
Requirements & Qualifications
Required:
Juris Doctor (JD) from an accredited law school; member in good standing with a U.S. state bar.
Minimum of 4-5 years of legal experience, with at least 5 years in healthcare law and compliance.
Proven experience managing healthcare compliance programs.
Deep knowledge of federal and state healthcare laws, including HIPAA, Anti-Kickback, Stark, and False Claims Act.
Experience working in healthcare compliance programs, preferably in a multi-site provider, MSO, or PE-backed healthcare organization.
Strong contract negotiation and drafting skills across a variety of agreements.
Business-oriented mindset with the ability to balance risk and growth.
Excellent communication, collaboration, and leadership skills.
M&A experience, including legal due diligence and deal execution.
Preferred:
Prior in-house experience at a healthcare organization
Experience with healthcare transactions and integration in a high-growth or acquisitive environment.
