About Venture Equities: Venture Equities is a private investment firm that has historically invested in startups, pre-seed ventures, and real estate projects. As our investor base has grown, we are now focused on acquiring larger, cash-flowing operating companies to deliver consistent, long-term value for our LP clients.
Through posting for other acquisitions in our pipeline, we’ve consistently received inbound inquiries from executives with active deals who are seeking a capital partner. This job post is designed to formalize those conversations and build partnerships with experienced operators ready to lead.
What We’re Offering: We partner with executives who bring acquisition opportunities that fit our investment criteria and are ready to take on an operating leadership role post-close. Here’s how we structure the partnership: • Competitive Salary for running the acquired company. • 1% Transaction Fee converted to equity ownership in the company you bring to us. • Exit Participation: After we return a 3.5x MOIC to our LPs, you’ll share in the additional upside upon recapitalization or full exit. • Aligned Incentives: We reward operators who build and scale businesses with us through long-term equity participation.
Our Investing Criteria & Philosophy: To ensure alignment, here’s how we approach acquisitions:
Target Profile: • EBITDA between $8M – $30M+ • 10+ years in business (no startups) • Minimum 10% EBITDA/net margins • U.S.-based companies only • Low customer concentration (no more than 20% from a single client) • Industry-agnostic, but we focus on durable, cash-flowing businesses
Valuation Discipline: • Our typical valuation range is 4–10x EBITDA, adjusted for company quality, industry dynamics, and deal-specific risks. • Healthy businesses with strong fundamentals command higher multiples. • Companies with weaker economics (e.g., subpar margins or operational inefficiencies) can still be of interest—but only at distressed valuations with a clear, executable turnaround plan. • We focus on buying right, fixing value where needed, and scaling responsibly.
First-Pass Valuation Expectation: • To evaluate any opportunity, we require three years of financials from the seller (P&L, balance sheet, cash flow). • This allows us to give a realistic valuation range upfront. • Unfortunately, we are not the right partner for founders with unrealistic price expectations disconnected from market realities.
