A dynamic and rapidly growing national law firm is seeking an Associate to join its Corporate Practice Group, with a focus on public company securities matters.

Position Overview
This role offers the opportunity to work on sophisticated public company and transactional matters within a collaborative and entrepreneurial environment. The ideal candidate will bring strong technical skills, sound judgment, and the ability to manage complex matters with meaningful client interaction.
Responsibilities
Advise public company clients on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934
Draft and review periodic reports (10-Ks, 10-Qs, 8-Ks), proxy statements, and registration statements
Counsel clients on corporate governance and disclosure matters
Support transactional work, including:
Mergers & acquisitions
Private equity transactions
Corporate finance matters
Venture capital financings
Licensing agreements
Corporate formation and maintenance
Qualifications
2–7 years of relevant corporate experience
Substantial experience with '33 Act and '34 Act matters
Exposure to transactional and governance matters as outlined above
Excellent academic credentials from a top-tier law school
Admission to practice in the state of the candidate's home office
Strong drafting, analytical, and communication skills
