We are looking for someone who can provide legal advice and practical solutions. This is a full-time, hybrid position, based in our Sunnyvale office, and reporting directly to our Chief Legal Officer.As a Senior Counsel, Corporate/Securities in JFrog you will...Preparation and review of SEC filings and related documents, including current and periodic reports, proxy statements, registration statements and Section 16 filingsCorporate governance matters, including preparation of materials, resolutions and minutes for board and committee meetingsWorking closely with Investor Relations regarding earnings releases and investor communicationsManaging equity processes including our Insider Trading Policy, implementation of 10b5-1 trading plans, and our pre-clearance processActing as a trusted advisor to our Stock Administration team related to our global equity programProviding legal advice and support on other transactions and corporate maintenance activities of the companyOverseeing our corporate governance functionProviding guidance on compliance matters as neededHelping to develop, implement and continually improve company and team processes and proceduresTo be a Senior Counsel, Corporate/Securities in JFrog you need...A JD from an accredited law school, membership in at least one state bar, and ability to practice in California8+ years hands on experience, with at least 5 years in houseExcellent management skills and business judgment with a capacity to make decisions and give adviceStrong organizational skills, flexibility, and ability to thrive in a fast-paced environmentExcellent written and verbal communication skillsA strong sense of self-motivation and the ability to take initiative, manage multiple projects and responsibilities, and thrive in a fast-paced and evolving environmentAbility to effectively communicate and consult with senior managementAbility to work both independently and collaboratively as a member of a small teamAttitude that no project is too big or too smallSense of humor, curiosity, and passion for your workWHAT JFROG CAN OFFER…At JFrog, base salary is only one component of our compensation package.This position has a base salary range between $200,000 to $240,000. Base salary will be based on your skills, qualifications, experience and location.This position also includes an equity package of restricted stock units (RSU).
