Job Summary: OpenGov is seeking a talented and motivated attorney to join our Legal Team as an Associate Commercial Counsel. Reporting to the Associate General Counsel, Commercial and Employment, you will be responsible for drafting and negotiating a wide range of commercial agreements and supporting internal teams in achieving their business goals. This is a collaborative, fast-paced role with opportunities for growth and meaningful impact on OpenGov’s mission to power more effective and accountable government. Responsibilities: Customer Contracting Draft, review, and negotiate SaaS subscription and professional services agreements with public sector customers across the United States.
Partner closely with the Sales, Revenue Operations, and Security teams to ensure smooth and timely deal execution.
Help ensure compliance with applicable procurement rules and develop a growing understanding of government contracting.
Vendor, Partner, and Other Commercial Agreements Review and negotiate vendor, partner, and other third-party contracts, with a focus on balancing risk and business efficiency.
Collaborate with stakeholders to ensure contract terms align with internal policies and operational needs.
Legal Support and Collaboration Provide timely, practical legal advice to internal teams on a wide variety of matters, including contract interpretation and legal risk.
Serve as a trusted partner to cross-functional teams and foster strong working relationships with internal stakeholders.
Process Improvement Contribute to ongoing improvements to legal workflows, templates, and playbooks to support scalable, efficient legal operations.
Maintain and help organize contract records, approvals, and deal documentation.
Requirements and Preferred Experience: Juris Doctor from an ABA-accredited law school and active membership in at least one United States state bar.
At least two years of legal experience drafting and negotiating commercial contracts, ideally in a technology, SaaS, or public sector environment.
Excellent judgment, strong attention to detail, and a collaborative, problem-solving mindset.
Comfortable working independently and managing multiple priorities in a fast-paced environment.
High ethical standards, sound judgment, and professionalism.
Strong interpersonal and communication skills, with a willingness to learn and grow.
Proficiency with tools such as Microsoft Word, Excel, Google Workspace, Slack, Salesforce, and DocuSign preferred.
Passion for OpenGov’s mission and values.
Additional Information: This is an in-office role; candidates must be able to work onsite at least four days per week.

$125k - $140k On target ranges above include base plus a portion of variable compensation that is earned based on company and individual performance.
